Terms of Service

Welcome to ILMUchat! These Terms of Service (“Terms“) apply to your use of ILMUchat and YTL AI Labs’ other products and services for individuals, including ILMUchat and associated applications, software, and websites (collectively, the “Services“). These Terms form an agreement between you and YTL AI Labs Sdn Bhd (formerly known as FROG ASIA SDN BHD) (Company Registration No.: 201101040519) (“YTL AI Labs,” “we,” “our,” or “us“).

These Terms govern your access to and use of the Services. Please read these Terms carefully, as they include important information about your legal rights. By accessing and/or using the Services, you are agreeing to these Terms. If you do not understand or agree to these Terms, please do not use the Services. For the avoidance of doubt, these Terms do not govern the use of any services intended for businesses or commercial use, including YTL AI Labs’ application programming interfaces (APIs), which are governed by separate terms.

When you use a specific function of the Services, there may be separate terms or related business rules for that specific function (“Specific Terms“) that would supplement these Terms, provided however that in the event of any conflict between these Terms and the Specific Terms, the provisions of the Specific Terms shall prevail in respect of the specific Service to such extent necessary to resolve the conflict. You will be able to find the Specific Terms (if any) for all specific functions of the Services on the Website (as later defined).

For purposes of these Terms, “you” and “your” means you as the user of the Services. If you use the Services on behalf of a company or other entity, then “you” includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity’s behalf.

1. WHO WE ARE

1.1
At YTL AI Labs, we develop ILMUchat, Malaysia’s flagship sovereign large language model—world-class, multimodal, and deeply rooted in local culture. For more information, please visit our website at www.ytlailabs.com (“Website“).

2. ACCOUNT AND ACCESS

2.1
Minimum Age.
You must be at least the minimum age required in your country to use the Services (whichever is higher), and by using the Services, you hereby confirm that you meet the minimum age requirement. If you are under 18, please ask your parents to review these Terms as you must have your parent or legal guardian’s permission to use the Services. If your parent or legal guardian permits you to use the Services, they must agree to these Terms. If you disagree with any part of these Terms, or cannot accurately understand or interpret any of these Terms, please feel free to ask us any questions at support@ilmu.ai. In the meantime, please immediately cease all use of our Services. If you are a parent or legal guardian and you permit your child who is under 18 to use the Services, you shall agree to these Terms, and to supervise and be responsible for your child’s use of the Services. This includes being responsible for all acts, omissions, and charges incurred through the relevant account or through use of the Services, and ensuring compliance with these Terms. It is therefore advised that you always monitor or supervise your child’s use of the Services if they are under 18. Parents and legal guardians acknowledge that use of the Services by their children below the age of 18 carries heightened risks, including exposure to inaccurate or inappropriate Outputs, and accepts such risks to the fullest extent permitted by law.
2.2
Registration.
You must provide accurate and complete information to register for an account to use our Services. You may not share your account credentials or make your account available to anyone else, and are responsible for all activities that occur under your account. If you create an account or use the Services on behalf of another person or entity, you must have the authority to accept these Terms on their behalf. You are solely responsible for any activity on your account and for maintaining the confidentiality and security of your password. We are not liable for any acts or omissions by you in connection with your account. You must immediately notify us at support@ilmu.ai if you know or have any reason to suspect that your account or password have been stolen, misappropriated, or otherwise compromised, or in case of any actual or suspected unauthorized use of your account. You agree not to create an account if we have previously removed your account, or we previously banned you from any of our Services, unless we provide written consent otherwise. We reserve the right to delete your account where we find we have previously removed an account belonging to you, or we previously banned you from any of our Services. You may delete your account at any time on the Website or by contacting us at support@ilmu.ai.
2.3
Evaluation and Additional Services.
In some cases, we may permit you to evaluate our Services for a limited time or with limited functionality. Use of our Services for evaluation purposes is for your personal, non-commercial use only. You may need to accept additional terms to use certain Services. These additional terms will supplement our Terms for those Services and may change your rights or obligations for those Services, including your obligations to pay fees.

3. USE OF SERVICES

3.1
Subject to your compliance with these Terms, you may access and use our Services. You must comply with all applicable laws as well as our Acceptable Use Policy and other documentation, guidelines or policies we make available to you from time to time, including on the Website. You are responsible for all activity under the account through which you access the Services.
3.2
The Services are operated from Malaysia. Accessing the Services from outside Malaysia is at your own risk and subject to all applicable local laws. By accessing or using the Services, you represent and warrant that your use complies with all applicable laws and regulations in your jurisdiction. If you are accessing the Service from a jurisdiction where its use is restricted or prohibited, you must cease use immediately.
3.3
Without prejudice to any restrictions included in the Acceptable Use Policy, you may not access or use, or help another person to access or use, our Services in the following ways:
3.3.1
in any way that violates or is not in compliance with any applicable law or regulation in Malaysia or such other laws with extra territorial effect, including but not limited to, any laws about exporting data to and from Malaysia or other countries;
3.3.2
to develop products or services that compete with our Services, including the creation or training of artificial intelligence or machine learning models, or for the resale of the Services;
3.3.3
to decompile, reverse engineer, disassemble, or otherwise attempt to derive our Services’ source code or human-readable form;
3.3.4
to crawl, scrape, distil model behaviour, or harvest data or information from the Services except as expressly allowed by these Terms;
3.3.5
to propagate any virus, Trojan horse, or other malware or programming routine intended to damage any system or data;
3.3.6
to use the Services, User Content or Activities to gain unauthorized access to any system or information, to deceive others or to disrupt, interfere with or bypass the Services or its security and safety systems and protective measures;
3.3.7
to infringe or violate any intellectual property rights or other legal rights, including rights of publicity or privacy;
3.3.8
to access the Services through automated means (such as bots or scripts) unless using an authorized API key or otherwise explicitly permitted by YTL AI Labs;
3.3.9
to engage in conduct that restricts, inhibits, or interferes with others’ use and enjoyment of the Services, or exposes YTL AI Labs, its users, affiliates, or third parties to liability, harm, or reputational damage;
3.3.10
to make high stakes decisions that affect a person’s safety, legal or material rights or well-being (such as making financial credit, investment, educational, employment, housing, insurance, legal, medical, or other important decisions about or for them);
3.3.11
to cause harm or engage in harmful and/or abusive activity including by harming or promoting harming human life (yours or anyone else’s), the sexualization or exploitation of children as well as espionage, hacking, introducing viruses, malware and harmful codes, defrauding, defamation, scamming, spamming, or phishing;
3.3.12
to mislead others or to not be transparent regarding your use of artificial intelligence.
3.4
Any individual who violates these Terms, the Acceptable Use Policy, or any other guidelines, policies, or documentation we make available, or who has been removed from the Service, is prohibited from accessing or using the Service. We expressly reserve the right, at our sole discretion, to decline to enter into any contractual relationship with you and/or to decide whether to enter into a contract with you. In the absence of a valid contract with us, you are expressly prohibited from accessing or using the Service.
3.5
We may offer manual or automatic updates to our software including our apps (“Our Software“), without advance notice to you. Our Software may include open source software. In the event of any conflict between these Terms and any other terms applicable to any portion of Our Software, such as open-source license terms, such other terms will control as to that portion of Our Software and to the extent of the conflict.

4. USER CONTENT

4.1
As a part of the Services, you can input, upload and submit information and other materials into ILMUchat or our other Services (“Input(s)“), and receive output from the Services based on your Input (“Output(s)“). You may also enable the Services to take actions on your behalf, such as manipulation, data processing and system interactions (“Action(s)“). Your use of ILMUchat, including any Outputs, may also be subject to license and use restrictions set forth in a third-party LLM license, if applicable. Any Input will be deemed “User Content(s)” under these Terms. You are responsible for User Content, including ensuring that the User Content does not violate any applicable laws or these Terms. You represent and warrant that you have, and undertake that you shall have, all rights, licenses, and permissions needed to provide any Input to our Services and for us to provide the Services to you (including taking any Actions). This includes not providing the personal data of any third parties without that party’s consent. As between you and YTL AI Labs, and to the extent permitted by applicable law, you retain any right, title, and interest that you have in the Inputs you submit. Subject to your compliance with these Terms, we assign to you the right, title, and interest, if any, in the Outputs, provided always that the Outputs do not incorporate, contain, embed and/or consist of any intellectual property rights or proprietary data of YTL AI Labs and/or the Company Entities. As between YTL AI Labs and you, YTL AI Labs does not claim any ownership in the User Content; provided that, YTL AI Labs and the Providers (defined below) own and will continue to own the Services and any and all other software or technology that was used to generate any Output.
4.2
Our Use of User Content.
You grant YTL AI Labs a perpetual, irrevocable, transferable, sublicensable, royalty-free, worldwide license to use, copy, store, modify, distribute, reproduce, publish, publicly display, list information about, create derivative works of, and aggregate your User Content and its derivatives for any purpose, including but not limited to (a) maintaining and providing the Services, (b) improving our Services and products, conducting data analysis, customer and market research, developing new features or products, and identifying usage or content trends, including training our models (unless you are permitted to, and choose to, opt out through your account settings), and (c) enforcing these Terms, complying with our Privacy Policy and applicable laws, and ensuring the security and safety of the Services. Even if you opt out, we will use the User Content for model training when: (a) you provide Feedback (defined below) to us regarding any User Contents, or (b) your User Contents are flagged for safety review to improve our ability to detect harmful content, enforce our policies, or advance our safety research. We may deploy automated systems to analyse your use of the Services and the User Content for business, safety and compliance purposes. A limited number of authorized personnel may access your usage and User Content for specific business purposes, such as enhancing product features, investigating security incidents or misuse, and fulfilling legal obligations.
4.3
Reliance on Outputs.
Artificial intelligence and large language models are rapidly evolving and inherently probabilistic. They are frontier technologies that are always improving in accuracy, reliability and safety. By using the Services, you acknowledge and agree that:
4.3.1
Outputs may include “hallucinations”, and may not accurately represent real, current or complete people, places, or facts, and may be unsuitable for your intended purpose. Outputs may contain material inaccuracies even if they appear accurate because of their level of detail or specificity;
4.3.2
Actions may not be error free or operate as you intended;
4.3.3
Outputs do not constitute professional advice, and you should undertake your own independent research rather than relying exclusively on them as factual;
4.3.4
you bear sole responsibility for assessing the accuracy and appropriateness of Outputs, including instituting human review and supervision prior to use or dissemination;
4.3.5
the Services may generate incomplete, inaccurate, inappropriate, or offensive Outputs, which do not reflect the views of YTL AI Labs and are not intended to endorse any individual or third party;
4.3.6
we reserve the right, at our sole discretion, to impose rate limits to manage system resources and usage;
4.3.7
due to the nature of artificial intelligence, Outputs may lack uniqueness, and similar or identical Outputs may be provided to multiple users;
4.3.8
your rights to any Output do not extend to the intellectual property or rights held by third parties.
4.4
Connecting to third-party services.
Certain features of the Services may facilitate your ability to connect to a third-party service provider. If you select a feature that involves sending your User Content to such a third-party service, you are instructing and authorizing YTL AI Labs to send your User Content out of the Service. Please review the policies of any third-party service providers for additional information about how they may use those materials.

5. OWNERSHIP AND FEEDBACK

5.1
YTL AI Labs and our affiliates, licensors, distributors, and service providers (collectively, “Providers“) own all rights, title, and interest in and to the Services. Except for the limited rights of access and use expressly granted to you under these Terms, no other rights, title, or interest in the Services are conveyed to you. We may collect diagnostic, technical, usage, and related information, including data about your devices, systems, and software (“Usage Data“). All Usage Data is and will remain solely owned by us. To the extent that any ownership rights in Usage Data might otherwise vest in you, you hereby assign all such rights, including intellectual property rights, to us. We may use, maintain, process, and share Usage Data or aggregated analytics derived therefrom for any lawful purpose, including but not limited to providing, improving, and developing our Services, conducting research and analysis, monitoring usage, and sharing insights with third parties.
5.2
To the extent you provide suggestions, recommendations, or other feedback (“Feedback“) relating to the Services or our products, you assign to us all rights, including intellectual property rights, in that Feedback. We may use Feedback without obligation or compensation to you, and we have no obligation to implement any Feedback provided.

6. PRIVACY AND DATA SECURITY

6.1
By using the Service, you acknowledge that we may collect, use, and disclose your personal information and aggregated, pseudonymized, and/or de-identified data as set forth in our Privacy Policy, and that your personal information will be transferred to, and/or processed in Malaysia.
6.2
We prioritize the security of your personal information; however, we cannot guarantee that unauthorized third parties will never bypass our security measures or misuse your data. You acknowledge and accept that you provide your data at your own risk. You agree to notify us immediately of any security breach or unauthorized use of your account and to promptly take all necessary actions to secure your account, including changing your password.
6.3
Unless necessary for the relevant Service, you are strongly discouraged from providing your personal data in any Inputs. In particular, when using the Services and/or in your Inputs, you should not provide (a) high volumes of personal data or personal information, (b) any information that includes or constitutes sensitive personal data under any applicable privacy laws or other rules, (c) any other person’s personal data, or (d) any information that is not necessary for your use of the Services. Due to the nature of the Services, if you include personal data or reference external content in your Inputs, we will collect that information and this information may be reproduced in your Outputs.
6.4
If you are below 18 years old, you cannot provide your personal data, whether in your Inputs or when otherwise using the Services, without the supervision or authorisation of your parent or legal guardian.

7. THIRD PARTY SERVICES

7.1
The Services may include or be integrated with third-party software, products, or services (“Third-Party Content“). We do not control or accept responsibility for any loss or damage that may arise from your use of any Third-Party Content, for which we make no representations or warranties. Your use of any Third-Party Content is at your own risk and subject to any terms, conditions, or policies (including privacy policies) applicable to such third-party content, services, and integrations.
7.2
Third-Party Content is the responsibility of the person or entity that provides it to our Services. YTL AI Labs is under no obligation to host, monitor, or serve Third-Party Content. Third-Party Content may appear in Inputs or Outputs and become part of User Contents. If you would like to report any Third-Party Content which you believe are not in compliance with these Terms, including by any violation of the Acceptable Use Policy or any applicable laws, you can report it to us at support@ilmu.ai.
7.3
Upon becoming aware that any Third-Party Content (1) infringes another’s copyright or any other intellectual property or related right, (2) is in breach of these Terms or our Acceptable Use Policy, or (3) may cause harm to YTL AI Labs, our users, or third parties, we reserve the right to remove or take down some or all of such Third-Party Content using, where appropriate, algorithmic and human review.

8. SUBSCRIPTION FEES AND PAYMENT

8.1
Fees, Payments, and Cancellation.
You may be required to pay fees to access or use our Services or certain features, as detailed on the Website or communicated to you by YTL AI Labs in writing. You are responsible for paying any applicable fees listed for the Services on the Website unless otherwise communicated to you by YTL AI Labs in writing. You are responsible for providing complete and accurate billing information, including a valid payment method (“Payment Method“). You agree that we may charge the Payment Method for applicable fees and taxes. If the fees for these Services or features are specified to be recurring or based on usage, you agree that we may charge these fees and applicable taxes to the Payment Method on a periodic basis. If you purchase access to our Services through a distributor (e.g. an app store) (“App Distributor“), then you will make payment to the App Distributor, and the App Distributor’s terms in relation to payment and billing will apply instead of these Terms. If a payment is unsuccessful, we reserve the right to suspend or downgrade your access until full payment is received. You acknowledge and agree that YTL AI Labs shall have no liability for any errors, losses, or damages arising from the acts or omissions of third-party payment processors. If you have any questions about payments or cancellations, please contact support@ilmu.ai.
8.2
Subscriptions.
To access paid versions or other subscription services as part of the Services that we may make available to individuals, you must sign up for a subscription with us on your account (a “Subscription“), and agree to these Terms. Further, you accept and agree that:
8.2.1
Subscription content, features, and services. The content, features, and other services provided as part of your Subscription, and the duration of your Subscription, will be described in the order process and/or on the Website. We may change the content, features, and other services from time to time by updating our Website, and we do not guarantee that any content, feature, or other service will always be available through the Services.
8.2.2
Subscription term and automatic renewal. If you sign up for a paid Subscription, we or the App Distributor will automatically charge your Payment Method on each agreed-upon periodic renewal date until you cancel. If your Subscription has a minimum term (the “Initial Term“), you will be notified during the order process. Your Subscription will last for the Initial Term and will automatically renew, and your Payment Method will be charged, at the end of the Initial Term for an additional term equal in duration to the Initial Term and will continue to renew and incur charges for additional terms equal in duration to the Initial Term (each such additional term, a “Renewal Term“) until you cancel.
8.2.3
Subscription cancellation. If you subscribed via the Website, you may cancel your Subscription for any reason by using a method we may provide to you through our products in your customer portal or by notifying us at support@ilmu.ai. If you subscribed via an app, you will need to cancel via the App Distributor in accordance with the App Distributor’s terms. To avoid renewal and charges for the next Renewal Term, you will have to cancel your subscription at least 24 hours before the last day of the Initial Term or any Renewal Term. In the event of a cancellation, your fees will not be refunded, but your access to the Services will continue through the end of the Initial Term or any Renewal Term for which you previously paid fees.
8.2.4
Subscription fees. You will pay the fees, either to us or to the App Distributor, for the Initial Term and each subsequent Renewal Term up front, at the start of that Initial Term or Renewal Term, as applicable.
8.3
Changes in Fees.
We may adjust our fees (including subscription fees) periodically, and additional fees may apply for any new Services, Subscription, or additional features of the Services that we may make available from time to time. Should there be any increase in fees and/or imposition of additional fees, we will provide you with 30 days’ notice, and such fees will apply at your next renewal, allowing you to cancel if you disagree with the change. If you do not accept any such increased and/or additional fees, your access to the Services (including such new Services or additional features of the Services) may be discontinued without notice to you.

9. DISCLAIMER

9.1
Your access to and use of the Services, User Content and Activities are at your own risk. You understand and agree that the Services, User Content and Activities, are provided to you on an “AS IS” and “AS AVAILABLE” basis. Without limiting the foregoing, to the maximum extent permitted under applicable law, YTL AI Labs, its parent entities, affiliates, related companies, officers, directors, employees, agents, representatives, partners and licensors (the “Company Entities“) DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, PRIVACY, COMPATIBILITY OR NON-INFRINGEMENT. Without prejudice to the generality of the foregoing, Company Entities make no warranty or representation and disclaim all responsibility and liability for: (a) the completeness, accuracy, availability, timeliness, security or reliability of the Services; (b) any harm to your devices, computer system, loss of data, or other harm that results from your access to or use of the Services; (c) the operation or compatibility with any other application or any particular system or device; (d) whether the Services will meet your requirements or be available on an uninterrupted, secure or error-free basis or that defects will be corrected; (e) the deletion of, or the failure to store or transmit, User Content and other communications maintained by the Services; and (f) whether the Services comply with the laws, regulations or requirements of any jurisdiction. No advice or information, whether oral or written, obtained from the Company Entities or through the Services, will create any warranty or representation not expressly made herein.
9.2
You acknowledge that the Services may generate Output containing incorrect, biased, or incomplete information. YTL AI Labs shall have no responsibility or liability to you for the infringement of the rights of any third party in your use of any Output. You should not rely on the Services or any Output for advice of any kind, including medical, legal, investment, financial or other professional advice. Any Output is not a substitute for advice from a qualified professional. You acknowledge that due to the nature of generative artificial intelligence tools, other users of the Services may create and use their own Output that is similar or identical as your Output, and you agree that such other users can use their own individually created Output for their own internal use.
9.3
From time to time, the Services may also include links to other websites. These links are provided for your convenience to provide further information. They do not signify that we endorse the website(s). We have no responsibility for the content of the linked website(s).
9.4
THE COMPANY ENTITIES TAKE NO RESPONSIBILITY AND ASSUME NO LIABILITY FOR ANY CONTENT THAT YOU, ANOTHER USER, OR A THIRD PARTY CREATES, UPLOADS, POSTS, SENDS, RECEIVES, OR STORES ON OR THROUGH THE SERVICES. YOU UNDERSTAND AND AGREE THAT YOU MAY BE EXPOSED TO CONTENT THAT MIGHT BE OFFENSIVE, ILLEGAL, MISLEADING, OR OTHERWISE INAPPROPRIATE, NONE OF WHICH THE COMPANY ENTITIES WILL BE RESPONSIBLE FOR.

10. INDEMNIFICATION

10.1
YOU AGREE TO INDEMNIFY AND HOLD HARMLESS THE COMPANY ENTITIES FROM AND AGAINST ANY AND ALL LIABILITIES, CLAIMS, DAMAGES, EXPENSES (INCLUDING LEGAL FEES AND COSTS), AND OTHER LOSSES ARISING OUT OF OR RELATED TO YOUR BREACH OR ALLEGED BREACH OF THESE TERMS; YOUR ACCESS TO, PROVISION OF, USE OF, OR ALLEGED USE OF THE SERVICES, THE USER CONTENTS, THE ACTIONS OR THE ACTIVITIES; YOUR FEEDBACK; ANY PRODUCTS OR SERVICES THAT YOU DEVELOP, OFFER, OR OTHERWISE MAKE AVAILABLE USING OR OTHERWISE IN CONNECTION WITH THE SERVICES; YOUR VIOLATION OF APPLICABLE LAW OR ANY THIRD-PARTY RIGHT; AND ANY ACTUAL OR ALLEGED FRAUD, INTENTIONAL MISCONDUCT, GROSS NEGLIGENCE, OR CRIMINAL ACTS COMMITTED BY YOU OR YOUR EMPLOYEES OR AGENTS. WE RESERVE THE RIGHT TO ENGAGE LEGAL REPRESENTATIVES AND PARTICIPATE IN OR ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY YOU HEREUNDER, IN WHICH CASE YOU AGREE TO COOPERATE WITH US AND SUCH LEGAL REPRESENTATIVES AS WE REASONABLY REQUEST.

11. LIMITATION OF LIABILITY

11.1
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT IN NO EVENT WILL THE COMPANY ENTITIES BE LIABLE (A) FOR DAMAGES OF ANY KIND, INCLUDING INDIRECT SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOSS OF USE, DATA OR PROFITS, BUSINESS INTERRUPTION OR ANY OTHER DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER UNDER THESE TERMS OR OTHERWISE ARISING IN ANY WAY IN CONNECTION WITH THE SERVICES (INCLUDING ANY OUTPUT) OR THESE TERMS AND WHETHER IN CONTRACT, STRICT LIABILITY OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) EVEN IF THE COMPANY ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE, OR (B) FOR ANY OTHER CLAIM, DEMAND OR DAMAGES WHATSOEVER RESULTING FROM OR ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, OUTPUT, OR THE DELIVERY, USE OR PERFORMANCE OF THE SERVICES OR OUTPUT. THE COMPANY ENTITIES’ TOTAL LIABILITY TO YOU FOR ANY DAMAGES FINALLY AWARDED SHALL NOT EXCEED THE GREATER OF RINGGIT MALAYSIA ONE HUNDRED (RM100.00), OR THE AMOUNT YOU PAID TO US FOR ACCESS TO OR USE OF THE SERVICES (IF ANY) IN THE SIX MONTHS PRECEDING THE DATE SUCH DAMAGES, LOSSES AND CAUSES OF ACTION FIRST AROSE. THE FOREGOING LIMITATIONS ARE ESSENTIAL TO THESE TERMS, AND WE WOULD NOT OFFER THE SERVICES TO YOU UNDER THESE TERMS WITHOUT THESE LIMITATIONS.

12. TERMINATION AND SUSPENSION

12.1
You may discontinue your use of the Services and close your account at any time. We reserve the right, at our sole discretion and without prior notice, to suspend, disable, or delete your account and/or access to the Services in whole or in part for any reason, including but not limited to:
12.1.1
you have breached these Terms, the Acceptable Use Policy, guidelines, or any other applicable policies;
12.1.2
such termination and/or suspension is necessary for compliance with applicable laws;
12.1.3
your use (and continued use) of the Services poses a risk of harm to YTL AI Labs, ILMUchat, our users, or any third parties; or
12.1.4
your account has remained inactive for a period exceeding one year and you do not hold a paid subscription.
12.2
If your account is deleted due to a suspected breach, you are prohibited from registering a new account under a different name and email address. Upon termination, suspension, or deletion of your account for any reason, YTL AI Labs may, at its sole discretion and to the extent permitted by applicable laws, delete your account, any User Content or any associated data. However, YTL AI Labs is under no obligation to do so and expressly disclaims any liability for failure to delete such User Content and/or any associated data. All sections which by their nature should survive the termination of these Terms shall continue in full force and effect subsequent to and notwithstanding any termination of these Terms by YTL AI Labs or you. Termination shall not limit any other rights or remedies available to YTL AI Labs under law or equity.
12.3
The following provisions shall survive any expiration or termination of the Services: Sections 5 (Ownership and Feedback), 8 (with respect to fees outstanding as of such expiration or termination), 9 (Disclaimer), 10 (Indemnification), 11 (Limitations of Liability), 12 (Termination and Suspension), 13 (Governing Law and Dispute Resolution) and 14 (Additional Provisions).

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1
These Terms are governed by the laws of Malaysia, excluding conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. In the event of any dispute, controversy, or claim arising out of or in connection with this Agreement, including any question regarding the existence, validity, breach, or termination of this Agreement, you agree to first attempt to resolve the matter amicably through good faith negotiations with us. If such dispute, controversy or claim arising out of or in connection with this Agreement in respect of which amicable settlement has not been reached, including any question regarding the existence, validity, breach or termination of this Agreement, shall be referred to and finally resolved by arbitration in accordance with the arbitration rules of the Asian International Arbitration Centre (“AIAC Rules“) for the time being in force. The tribunal shall consist of one (1) arbitrator and shall be appointed in accordance with the AIAC Rules. The seat of arbitration shall be in Kuala Lumpur, Malaysia. The language of the arbitration shall be English.
13.2
Injunctive Relief.
You agree that a breach of these Terms may cause irreparable injury to YTL AI Labs for which monetary damages would not be an adequate remedy and YTL AI Labs shall be entitled to equitable relief in addition to any remedies it may have hereunder or at law without proof of damages.

14. ADDITIONAL PROVISIONS

14.1
Usage of ILMUchat App.
You are responsible for obtaining and maintaining all necessary equipment and services required to access and use the App, including but not limited to, a mobile device, a wireless service plan, and an internet connection. We do not guarantee that the ILMUchat App will be accessible or functional on any specific device or with any particular service plan. Furthermore, we make no representation that the ILMUchat App will be available or that orders for any product offerings can be placed from all geographical locations. In connection with the ILMUchat App, you may receive push notifications, text messages, alerts, emails, or other forms of electronic communications (collectively, “Push Messages“) to provide you with updates. By using the ILMUchat App, you acknowledge and accept that your wireless service provider may impose fees for data, text messaging, and other wireless services associated with your use of the ILMUchat App, including the receipt of Push Messages. You retain control over your Push Message settings and can opt in or out of these communications through the ILMUchat App’s settings or your mobile device’s operating system. However, this may not apply to infrequent, critical service announcements or administrative messages. You are solely responsible for all fees, costs, and expenses incurred from downloading, installing, and using the ILMUchat App on your mobile device, including those related to receiving Push Messages from us. The ILMUchat App may update automatically to ensure you are using the latest version and you hereby consent to such automatic upgrading on your mobile device.
14.2
Changes to these Terms.
We may modify these Terms from time to time in which case we will update the “Last Revised” date at the top of these Terms. If we make changes that are material, we will use reasonable efforts to attempt to notify you, such as by email and/or by placing a prominent notice on the first page of the Website. However, it is your sole responsibility to review these Terms from time to time to view any such changes. The updated Terms will be effective as of the time of posting, or such later date as may be specified in the updated Terms. Your continued access or use of the Services after the modifications have become effective will be deemed your acceptance of the modified Terms. No amendment shall apply to a dispute for which legal proceedings has been initiated prior to the change in Terms.
14.3
Changes to the Services.
Our Services are evolving and may change over time. We may add or remove features, adjust any limits (whether relating to tokens, usage or otherwise), introduce new Services, or discontinue existing ones. Unless otherwise agreed in writing, we reserve the right to modify, suspend, or terminate the Services or your access to them, in whole or in part, at any time without prior notice. While we aim to provide reasonable advance notice when discontinuing a Service, urgent situations such as preventing abuse, complying with legal obligations, or addressing security concerns, may require immediate action without notice. We are not liable for any changes, suspensions, or discontinuations of the Services or your access.
14.4
No Refunds.
Payments made are non-refundable except as required by law; please review your order carefully before confirmation.
14.5
Compliance with Laws.
We may disclose information related to the provision or use of the Services, including any data provided or collected under these Terms, to comply with valid governmental, judicial, or law enforcement requests or legal obligations. At our sole discretion, we reserve the right to report any information about you, including without limitation, Inputs and/or Outputs and/or Actions, to law enforcement or other relevant authorities.
14.6
Entire agreement.
These Terms and any other terms expressly incorporated by reference form the entire agreement between you and us regarding the subject matter of our Terms.
14.7
Severability.
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed without affecting the remaining provisions, which shall remain in full force and effect.
14.8
Assignment.
YTL AI Labs may assign these Terms and any licenses granted hereunder at its discretion. You may not assign your rights or obligations without YTL AI Labs’ prior written consent.
14.9
No Waiver.
No waiver of any breach or default shall be considered a waiver of any other or subsequent breach. Section headings are for convenience only and have no legal effect.
14.10
Use of our logo.
You may not, without our prior written permission, use our name, logos, or other trademarks in connection with products or services other than the Services, or in any other way that implies our affiliation, endorsement, or sponsorship. To seek permission, please email us at support@ilmu.ai.
